Uzbekistan is a non-sensitive country for China's outbound investment; Chinese enterprises investing there use the filing regime rather than approval. Three China-side lines run in parallel: NDRC project filing (non-sensitive projects with Chinese-side investment of USD 300 million or above filed with the NDRC; below that with the provincial DRC), MOFCOM filing with the Certificate of Outbound Investment, and bank ODI FX registration before purchase/remittance. The three certificates are the precondition for compliant capital outflow, later capital increases, shareholder loans and profit repatriation; remitting before filing means banks cannot process purchase/remittance and projects may be ordered suspended or stopped. Central SOEs must additionally fulfill SASAC outbound-investment supervision procedures. After filing there are ongoing obligations: annual ODI equity-interest registration, outbound-investment cooperation annual inspection, change filings for major changes, and material preparation for profit repatriation.
Key points
- Country attribute: Uzbekistan has diplomatic relations with China and is not sanctioned; it is non-sensitive; unless the industry is sensitive (weapons, cross-border water resources, news media, industries the State Council restricts outbound investment in), the filing regime always applies.

- Investment-method coverage: new establishment (greenfield), M&A equity, capital increase, overseas re-investment and financing guarantees are all regulated; indirect investment via Hong Kong and other third-country intermediaries still judges sensitivity by final destination and industry with filing required.
- SOE special requirements: central SOEs apply the SASAC Measures, must be included in the annual outbound investment plan, pass internal decision and negative-list management; local SOEs follow local state-asset supervision rules.
- Tax treaty and investment protection: the China-Uzbekistan DTT signed 1996-07-03, effective 1997-01-01, can reduce dividend/interest/royalty withholding and provides the basis for foreign-income tax credits; the BIT provides treaty protection for investment treatment, expropriation compensation and dispute resolution (text per the MOFCOM treaty database).
