Uzbekistan is highly open to foreign investment: most industries allow 100% foreign ownership without local partners; the mainstream vehicle is the LLC (Uzbek MChJ / English LLC, 1-50 shareholders). Ordinary LLCs have no statutory minimum registered capital and can be registered fully online via my.gov.uz / birdarcha.uz, with certificates generally issued within 1-2 business days of complete materials at a state fee of about UZS 270,000. But to obtain 'foreign enterprise (FE LLC) / joint venture (JV LLC)' status and thereby apply for foreign-investment tax incentives, three conditions must be met simultaneously: registered capital of no less than UZS 400 million, at least 1 foreign founder, and foreign contribution of no less than 15% of registered capital; capital can be paid in within 1 year of registration. Foreign founders and the proposed general director must first obtain the personal identification number PINFL and an electronic digital signature (EDS); foreign documents must be apostilled with notarized Russian or Uzbek translations. From 2026-01-01, Presidential Decree PP-214 promotes 'incorporate a business in 15 minutes', allowing EDS, account-opening applications, license applications, lease registration and manager registration in the same flow.

- Name: check and reserve online (reservation usually 30-60 days, per platform); names must not contain 'UZ', 'UZB', 'Uzbekistan' (unless specially authorized by government) and must not infringe prior trademarks; companies meeting foreign-investment conditions should prefix FE LLC / JV LLC.
- Identity prerequisites: foreign shareholders (natural persons) and proposed general directors must first obtain the Uzbek PINFL and an EDS, otherwise they cannot sign and submit registration documents in the electronic system.
- Document forms: overseas business licenses/certificates of continued existence, shareholder resolutions and powers of attorney (POA) must be apostilled (Uzbekistan is a Hague Convention party) or certified by the Uzbek embassy/consulate, with notarized Russian or Uzbek translations.
- Registered address: real legal address in Uzbekistan required with the real-estate cadastral number (provided by the landlord); choosing the general tax regime and applying for VAT status in practice requires office premises of no less than 18 sqm (per tax authority standards).
- Structure restriction: Uzbek law does not allow 'nested one-person companies' - a single-member LLC cannot be the sole shareholder of another company.
- Foreign general director: during FE registration, account opening and labour-permit processing, foreign directors can stay 3 months without a labour permit; non-resident general directors must obtain a labour permit within 3 months of appointment (see employment dimension).
- Reform dividend: Presidential Decree PP-214 (2025-11-14) promotes 'incorporate a business in 15 minutes' from 2026-01-01, with EDS issuance, account/license applications, real-estate lease registration and manager registration in one flow, and a unified QR-code payment.
Procedure
- Determine the entity type and equity structure; if held by a Chinese domestic entity, complete domestic ODI filing first (see odi dimension).
- Obtain PINFL personal identification numbers and EDS for foreign shareholders/proposed general directors.
- Prepare and certify incorporation documents: charter, founder resolution, power of attorney, parent registration certificate (Apostille + notarized Russian/Uzbek translation).
- Complete name check and reservation on my.gov.uz / birdarcha.uz.
- File the registration application online and pay the state fee; obtain the State Registration Certificate and TIN (STIR).
- Make the company seal, open local and foreign-currency bank accounts (see banking dimension) and activate them.
- Complete tax registration and regime selection (general/turnover), register for VAT if the threshold is met; register the manager in the 'unified national labour system'.
- Apply for licenses/approvals/notifications per industry (see qualification dimension) and pay in registered capital within 1 year.
